Technology Diligence & Integration Framework

A proprietary framework for de-risking acquisitions across six critical IT towers and maximising post-deal synergy realisation.

Technology risk is the silent deal-killer in M&A. Inadequate technology diligence has derailed more transactions than any other single factor — not because the risks were unforeseeable, but because they were not systematically assessed.

This white paper introduces our proprietary framework for technology diligence and integration planning, structured around six critical IT towers: Infrastructure, Applications, Data, Security, Organisation, and Operations. For each tower, we define the assessment criteria, risk indicators, and integration considerations that determine whether a deal delivers its projected synergies.

The framework is designed for practical application. We provide the assessment templates, scoring methodologies, and red-flag indicators that our teams use in live transactions. The paper also addresses the post-deal phase — how diligence findings translate into integration plans, how synergy targets are tracked, and how the first 100 days of technology integration set the trajectory for long-term value realisation.
